Who are we looking for?
We're hiring an experienced corporate paralegal to partner with our securities, M&A, financing, and corporate governance attorneys on high-impact matters. You'll drive key workstreams across the governance, securities law, M&A, financing, and legal entity management spaces. You'll interface frequently with senior executives, multiple functions, and internal and external counsel across our global organization.
What will you be doing?
- Provide support in the preparation and filing of annual and quarterly reports, proxy statements and other SEC filings, including Form 8-Ks and Section 16 filings
- Assist with Corporate Treasury matters, including intercompany loans and dividends and delegations of banking authority
- Prepare resolutions/written consents and meeting minutes
- Facilitate internal subsidiary management and corporate governance, including intercompany transactions, formation or integration of subsidiaries, required corporate governance filings such as statutory audits and annual filings, drafting of resolutions, corporate minute books, and records management
- Create and maintain a master tracker of all ongoing corporate matters and compliance calendar with the assistance of the company’s corporate service provider
- Navigate cross-border requirements for execution and certification of various corporate documents and filings, including notarization and apostilles
- Organize, manage, and maintain legal documents within an electronic document management system, ensuring accessibility and accuracy
- Assist with M&A, financing or similar transactions and projects as needed
- Provide administrative support, including with respect to setting up new vendors and processing, and facilitating the approval and payment of, invoices; and support the Legal Department with various ad hoc legal tasks as needed
Who are You?
- Bachelor's Degree, paralegal certification, or equivalent professional experience
- Minimum of five years of relevant corporate/transactional paralegal experience
- Strong knowledge of federal securities laws and regulations
- Solid understanding of corporate/transactional matters is required
- Prior experience with securities, in particular Section 16 filings, and governance matters

The typical base salary range for this position is anticipated to be between $95,406 and $143,108 annually.
